1. Agreement to these terms
These Terms of Use are a legal agreement between you and Signal & Story Incorporated (“Signal & Story,” “we,” “us,” or “our”). They apply when you access signalandstory.ai, the Signal & Story platform, or any related application, content, API, integration, feature, or service that links to these terms (collectively, the “Services”).
By creating an account, purchasing a plan or credits, clicking to accept, or using the Services, you agree to these terms and our Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Services.
2. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into this agreement.
- You must provide accurate account information and keep it current.
- You are responsible for account security, authorized users, and activity under your account.
- You must promptly notify us if you suspect unauthorized access or compromised credentials.
- You may not sell, transfer, share, or make an account available to unauthorized people.
Authentication may be provided through third-party identity services. Their terms and privacy practices also apply to your use of those authentication methods.
3. The Services
Signal & Story provides tools for market-signal research, narrative and series planning, content development, character and voice management, AI-assisted image, audio and video generation, media editing, scheduling, publishing, collaboration, analytics, and related marketing workflows. Features may be experimental, identified as beta, provided through third parties, or changed as the Services evolve.
We may add, modify, suspend, limit, or discontinue features. We do not promise that a particular model, provider, integration, output format, social network feature, or generation method will always remain available.
4. AI-generated and AI-assisted content
The Services may generate or transform text, images, voices, audio, video, avatars, research summaries, recommendations, and other material (“Outputs”) using artificial intelligence. Outputs may be inaccurate, incomplete, biased, offensive, visually inconsistent, factually unsupported, similar to material generated for others, or unsuitable for your intended purpose.
- You must independently review and approve Outputs before publishing or relying on them.
- You are responsible for fact-checking, substantiating claims, securing required disclosures, and complying with advertising, endorsement, intellectual-property, publicity, privacy, consumer-protection, and platform rules.
- Quality gates, moderation, identity checks, and automated warnings assist review but do not replace human judgment.
- The Services do not provide legal, medical, financial, employment, credit, insurance, or other regulated professional advice.
- We do not guarantee that Outputs are unique, protectable by intellectual-property law, free from third-party claims, or accepted by a social or advertising platform.
5. Avatars, likenesses, and voices
You may upload or create reference images, recordings, voice clones, avatars, and identity packs only when you have all necessary rights and valid consent. You represent and warrant that every person depicted or heard has knowingly authorized the relevant capture, upload, cloning, transformation, generation, and intended commercial use.
- Do not impersonate, deceive, exploit, defame, harass, or misrepresent a person.
- Do not create or distribute non-consensual sexual, intimate, humiliating, or abusive material.
- Do not use the likeness or voice of a public figure, employee, customer, private person, or deceased person without sufficient legal authority.
- Do not upload a minor’s likeness or voice unless a parent or legal guardian has provided all legally required consent and the use is lawful and age-appropriate.
- Maintain records of releases, licences, approvals, and disclosures appropriate to your use.
We may request evidence of authorization, apply labels or provenance signals, block a generation, or remove identity-related material where we reasonably believe rights or safety may be at risk.
6. Your content and permissions
“User Content” means prompts, instructions, data, websites, social profiles, documents, media, trademarks, logos, recordings, reference material, and other content you submit or connect. You retain your rights in User Content. You grant Signal & Story and its service providers a worldwide, non-exclusive, limited licence to host, copy, process, transmit, modify, display, and use User Content only as reasonably necessary to operate, secure, support, improve, and provide the Services and comply with law.
You represent that you have all permissions necessary for User Content and our permitted processing of it. Do not submit confidential, regulated, export-controlled, privileged, or sensitive information unless the applicable Service expressly supports it and you have authority to do so.
7. Outputs and Signal & Story technology
As between you and Signal & Story, and to the extent permitted by law, you may use Outputs created for you after paying applicable fees and complying with these terms. Your rights may be affected by applicable law, third-party model or content licences, source material, and the rights of others.
Signal & Story and its licensors retain all rights in the Services, software, models, workflows, interfaces, templates, systems, documentation, branding, and underlying technology. No rights are granted except those expressly stated in these terms. Feedback may be used without restriction or compensation, provided it does not identify you publicly without permission.
8. Acceptable use
You may not use the Services to:
- break the law, violate another person’s rights, or facilitate fraud, scams, phishing, identity theft, deceptive endorsements, or market manipulation;
- create unlawful discriminatory decisions or regulated eligibility decisions involving employment, housing, education, insurance, lending, credit, healthcare, or access to essential services;
- generate or distribute malware, harmful code, instructions for wrongdoing, or content that threatens safety;
- create child sexual abuse material, sexual content involving minors, or content that exploits or endangers children;
- create non-consensual intimate imagery, abusive deepfakes, targeted harassment, credible threats, or hateful content;
- mislead people about the origin, authenticity, sponsorship, or endorsement of AI-generated content where disclosure is required or reasonably necessary;
- infringe copyright, trademark, publicity, privacy, contractual, confidentiality, or other rights;
- scrape, probe, reverse engineer, bypass safeguards, interfere with the Services, or access accounts or systems without authorization;
- resell, sublicense, or provide the Services as a competing service unless we authorize it in writing; or
- use Outputs or automation for spam, unlawful surveillance, voter suppression, deceptive political persuasion, or other manipulative conduct.
9. Publishing and connected services
You control whether content is approved and published. If you enable automated publishing, scheduling, or reduced approval settings, you authorize the Services to act according to those settings and remain responsible for the result. Review workflows and approval controls do not transfer responsibility to Signal & Story.
Integrations with social networks, CRM systems, cloud storage, payment providers, authentication providers, AI providers, and other third parties are governed by their own terms. We are not responsible for third-party outages, account restrictions, moderation decisions, API changes, content removal, data practices, or fees. You must comply with the rules of every connected service.
10. Plans, credits, billing, and taxes
- Prices, plan features, usage limits, storage, concurrency, render tiers, and included credits are shown at purchase or in your account.
- Subscriptions renew automatically for the stated billing period unless cancelled before renewal.
- You authorize us and our payment provider to charge applicable fees, taxes, and permitted adjustments to your payment method.
- Credits are a limited, revocable licence to consume eligible platform services. They are not money, stored value, property, or a cash equivalent and cannot be transferred, resold, or redeemed for cash.
- Usage estimates are estimates. Actual credit consumption may vary with duration, quality, provider, retries, media processing, and selected features. We will not intentionally charge for a provider request that our systems confirm was never submitted.
- Promotional, referral, trial, or complimentary credits may expire or be subject to additional conditions disclosed when issued.
- Except where required by law or expressly stated otherwise, fees and consumed credits are non-refundable.
We may change future pricing or plan features with reasonable notice. Changes to a paid subscription ordinarily apply at the next renewal unless required earlier for security, law, third-party pricing, or abuse prevention. You are responsible for applicable taxes other than taxes based on our net income.
11. Promotions and referrals
Referral and promotional programs may have additional rules. Referral credit is issued only for genuine, eligible new customers after required signup or purchase conditions are satisfied. Self-referrals, duplicate accounts, automated referrals, misleading promotion, or attempts to manipulate a program are prohibited. We may limit, reverse, or withhold promotional credits where eligibility cannot be verified or abuse is suspected.
12. Review, enforcement, and suspension
We may use automated systems and human review to detect misuse, protect rights, enforce these terms, investigate security incidents, and comply with law. We may reject a request, restrict features, remove content, preserve evidence, suspend or terminate an account, or notify appropriate parties when reasonably necessary. We are not obligated to monitor all content and do not endorse User Content or Outputs.
13. Confidentiality
Each party will use reasonable care to protect non-public information clearly identified as confidential or that should reasonably be understood as confidential. This obligation does not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received without restriction. A party may disclose confidential information when legally required after providing notice where permitted.
14. Privacy
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. You are responsible for providing legally required notices and obtaining consent for personal information, contact data, recordings, likenesses, voices, and connected accounts you submit through the Services.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SIGNAL & STORY DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND COLLATERAL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUALITY, AVAILABILITY, SECURITY, AND RESULTS.
We do not warrant uninterrupted or error-free operation, successful generation, identity consistency, perfect synchronization, factual accuracy, platform acceptance, campaign performance, audience response, revenue, or any particular business outcome. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL & STORY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR CONTENT, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SIGNAL & STORY FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). These limits apply regardless of the legal theory and do not limit liability that cannot lawfully be limited.
17. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Signal & Story and its affiliates, officers, directors, employees, contractors, and service providers from claims, damages, losses, liabilities, costs, and reasonable legal fees arising from your User Content, Outputs, connected accounts, publishing activity, violation of these terms, violation of law, or infringement of another person’s rights. We may control the defence and settlement of a covered claim, and you will reasonably cooperate. You may not settle a claim in a manner that admits fault by or imposes an obligation on us without our written consent.
18. Termination
You may stop using the Services and cancel a subscription through available account controls. Cancellation ordinarily takes effect at the end of the current paid period. We may suspend or terminate access for breach, non-payment, risk to the Services or others, legal requirements, or discontinued operations. Where reasonable, we will give notice and an opportunity to export supported content, but immediate action may be necessary for safety, security, fraud, or legal compliance.
Provisions that by their nature should survive termination will survive, including payment obligations, ownership, confidentiality, disclaimers, limitations of liability, indemnity, dispute provisions, and enforcement rights.
19. Governing law and disputes
These terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to rights that cannot lawfully be waived, the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising from these terms or the Services. Before filing a claim, each party will make a good-faith effort for 30 days to resolve the dispute informally after written notice.
20. General terms
These terms, the Privacy Policy, purchase terms, and any applicable written order form are the entire agreement about the Services. If an order form conflicts with these terms, the order form controls for that transaction. You may not assign this agreement without our written consent; we may assign it as part of a corporate reorganization, financing, merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Headings are for convenience only.
21. Changes to these terms
We may update these terms as the Services, law, or business changes. We will post the revised terms and update the date above. Where a change materially affects existing paid users, we will provide additional notice when reasonably required. Continued use after the effective date means you accept the revised terms.
